Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Silicon Valley Interactive LLC ("Silicon Valley Interactive," "Ghostify," "we," "us," or "our") governing your access to and use of Ghostify.lol and related products, features, websites, and services (collectively, the "Service").

Please read these Terms carefully.

By creating an account, purchasing a subscription, or otherwise accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy.

If you do not agree, do not use Ghostify.

1. Eligibility

You must be at least 18 years old to use Ghostify.

By creating an account or using the Service, you represent and warrant that you are at least 18 and legally capable of entering into these Terms.

We may suspend or terminate accounts where we reasonably believe the eligibility requirements have not been satisfied.

2. What Ghostify Does

Ghostify allows users to upload communications, including exported message histories, and use artificial intelligence to create simulated conversations and other generated outputs based on those communications.

Ghostify does not recreate a human being.

AI simulations are computational outputs based on available information and may differ substantially from how the relevant person actually thinks, communicates, behaves, remembers, or would respond.

3. Accounts

Certain features require an account.

You agree to provide accurate account information and maintain the security of your account credentials.

You are responsible for activity conducted through your account except to the extent otherwise required by applicable law.

You must promptly notify us if you believe your account has been compromised.

You may not sell, transfer, or provide unauthorized access to your account.

4. User Content

"User Content" means communications, messages, conversation exports, files, text, images, information, prompts, instructions, feedback, and other material you upload, submit, transmit, or otherwise provide through the Service.

As between you and Silicon Valley Interactive, you retain whatever ownership rights you legally possess in your User Content.

Nothing in these Terms grants you ownership of material belonging to another person.

5. License to User Content

You grant Silicon Valley Interactive a worldwide, non-exclusive, sublicensable, transferable license to host, store, reproduce, transmit, process, analyze, modify, create derived information from, and otherwise use User Content as reasonably necessary to:

• provide and operate Ghostify;
• generate AI outputs;
• maintain and secure the Service;
• develop and improve features;
• conduct analytics and research;
• develop, train, fine-tune, evaluate, test, and improve artificial intelligence and machine-learning systems;
• develop future products and technologies; and
• otherwise process information as described in our Privacy Policy,

in each case subject to applicable law.

Our rights concerning personal information are additionally governed by our Privacy Policy and applicable privacy law.

6. Content Concerning Other People

Ghostify allows you to upload conversations that may include communications from other people.

You represent and warrant that you will not upload or process content through Ghostify in violation of applicable law or another person's legally enforceable rights and that you have any rights, permissions, or authority required of you to submit the content for the processing you request.

You acknowledge that another individual may have privacy, confidentiality, intellectual-property, publicity, contractual, or other rights concerning information appearing in your User Content.

We may remove content, restrict processing, or take other action in response to a valid request or where we reasonably believe continued processing creates legal, security, or safety risk.

7. AI-Generated Simulations

A Ghostify simulation is not the actual person being simulated.

The person represented by a simulation:

• did not necessarily create the simulation;
• may not know that it exists;
• may not have reviewed its outputs;
• does not necessarily endorse Ghostify;
• does not control what the AI says; and
• should not be understood as making statements generated by Ghostify.

AI-generated responses may be false, inaccurate, fabricated, offensive, inappropriate, incomplete, or inconsistent.

You must not represent a Ghostify-generated communication as an authentic communication from the real individual.

8. Acceptable Use

You agree not to use Ghostify to:

• violate applicable law;
• commit or facilitate fraud;
• unlawfully impersonate another person;
• deceive someone into believing AI-generated content is an authentic communication from another person;
• harass, threaten, stalk, intimidate, or exploit another person;
• violate another person's privacy;
• unlawfully obtain or disclose confidential information;
• violate intellectual-property or publicity rights;
• generate or distribute unlawful sexual or exploitative content;
• facilitate abuse or exploitation of a minor;
• circumvent security, authentication, or usage restrictions;
• gain unauthorized access to accounts, systems, or information;
• introduce malware or malicious code;
• scrape or systematically extract information from the Service without authorization;
• reverse engineer the Service except where applicable law expressly permits it;
• interfere with the operation or security of Ghostify; or
• use Ghostify in a manner that creates an unreasonable legal, safety, or security risk.

We may investigate suspected violations.

9. Enforcement

We may remove content, restrict features, suspend accounts, or terminate access where we reasonably believe:

• these Terms have been violated;
• an account is being used unlawfully;
• activity threatens another person;
• activity creates security or fraud risk;
• we are required to do so by law; or
• continued access creates material risk to Ghostify, Silicon Valley Interactive, our providers, users, or others.

We are not obligated to monitor all User Content or AI-generated content.

10. Subscriptions and Payments

Some or all Ghostify features require a paid subscription.

Prices, billing periods, features, and applicable charges will be disclosed before purchase.

By purchasing a recurring subscription, you authorize us or our payment processor to charge the applicable payment method at the beginning of each billing period until the subscription is canceled.

Subscriptions may automatically renew unless canceled before the applicable renewal date, as disclosed during purchase.

Taxes may be added where required.

Payments may be processed by Stripe or another payment provider.

11. Cancellation

You may cancel your subscription through the cancellation mechanism made available through your account or as otherwise communicated to you.

Unless otherwise stated at purchase or required by applicable law, cancellation prevents future renewal and does not retroactively refund charges already incurred.

Your access to paid functionality may continue through the end of the then-current paid billing period.

Nothing in this section limits refund or cancellation rights that cannot legally be waived.

12. Changes to Pricing and Features

We may change subscription pricing, available features, usage limits, or subscription plans.

Where required, we will provide notice before a pricing change applies to an existing recurring subscription.

We may add, remove, modify, suspend, or discontinue features of Ghostify.

13. Ghostify Intellectual Property

Ghostify and its software, designs, interfaces, branding, logos, technology, documentation, models, systems, and other materials provided by Silicon Valley Interactive are owned by us or our licensors and are protected by intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use Ghostify for its intended purposes.

No rights are granted except those expressly stated in these Terms.

14. Feedback

If you provide ideas, recommendations, suggestions, feedback, or other comments concerning Ghostify, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use them for any lawful purpose without restriction or compensation to you.

15. Third-Party Services

Ghostify may use or integrate with third-party services, infrastructure, websites, or technologies.

We do not control third-party services and are not responsible for their availability, content, or independent conduct except to the extent required by applicable law.

Ghostify is not affiliated with, endorsed by, sponsored by, or an official product of Apple, iMessage, WhatsApp, Meta, or another messaging provider merely because Ghostify allows users to process communications originating from those services.

16. Generated Content Is for Simulation and Entertainment

Ghostify's AI-generated content is provided for simulation, entertainment, and other functionality offered through the Service.

You should not rely on generated content as a factual representation of another person's thoughts, memories, intentions, beliefs, desires, plans, or likely behavior.

Generated content is not professional legal, medical, financial, psychological, or other professional advice.

17. No Guarantee of Accuracy

Artificial-intelligence systems are probabilistic and may produce incorrect or unexpected results.

We do not warrant that:

• a simulation accurately represents a person;
• generated statements are true;
• generated content reflects source conversations correctly;
• a person would actually provide a generated response;
• Ghostify will remember information correctly; or
• outputs will be suitable for any particular purpose.

18. Privacy

Our Privacy Policy describes our processing of personal information.

By using Ghostify, you acknowledge that you have reviewed the Privacy Policy.

Where applicable law requires consent for particular processing, we may separately request that consent.

19. Termination by You

You may stop using Ghostify at any time.

You may request account deletion by contacting support@siliconvalleyinteractive.com or using any account-deletion functionality we make available.

Canceling a paid subscription and deleting an account are separate actions unless we expressly state otherwise.

20. Termination by Us

We may suspend or terminate your access to Ghostify where reasonably necessary to enforce these Terms, comply with law, protect our systems or users, address fraud or abuse, or manage discontinuation of the Service.

Where appropriate and legally required, we may provide notice.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GHOSTIFY AND ALL RELATED CONTENT, FEATURES, AI OUTPUTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SILICON VALLEY INTERACTIVE DISCLAIMS ALL WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT GHOSTIFY WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME.

WE DO NOT WARRANT THE ACCURACY OR AUTHENTICITY OF AI-GENERATED CONTENT.

Some jurisdictions do not permit certain disclaimers, so portions of this section may not apply to you.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILICON VALLEY INTERACTIVE LLC AND ITS MEMBERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATING TO GHOSTIFY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID SILICON VALLEY INTERACTIVE FOR GHOSTIFY DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) $100 USD.

Nothing in these Terms excludes or limits liability that applicable law does not permit us to exclude or limit.

23. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Silicon Valley Interactive LLC and its affiliates, members, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, losses, and reasonable costs and expenses arising from or relating to:

• your unlawful User Content;
• your material violation of these Terms;
• your unlawful use of Ghostify; or
• your violation of another person's legally enforceable rights.

24. Governing Law

Except where applicable law requires otherwise, these Terms and disputes arising from them or Ghostify will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

25. Dispute Venue

Unless applicable law requires otherwise, disputes that are not resolved informally will be brought in a state or federal court with appropriate jurisdiction located in Michigan, and you and Silicon Valley Interactive consent to the jurisdiction of those courts.

We have intentionally not included a mandatory arbitration or class-action waiver in this version. We may adopt legally permissible dispute-resolution provisions in future Terms.

26. Changes to These Terms

We may modify these Terms from time to time.

If we make material changes, we will provide notice as required by applicable law.

Changes will apply prospectively from their stated effective date except where applicable law permits otherwise.

If applicable law requires affirmative acceptance of an updated provision, we may request that acceptance before allowing continued use of relevant portions of the Service.

27. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or similar transaction, or as otherwise permitted by law.

28. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.

29. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

30. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly presented for particular features or purchases, constitute the agreement between you and Silicon Valley Interactive concerning Ghostify.
